Service Agreement

Terms of engineering services.

Version OE-SA-1.3 (2026-11-02) · Effective November 2, 2026. This agreement applies to paid services from Oasis Engineering, LLC. The website's general terms and disclaimers and privacy policy continue to apply to use of the site.

In plain language

We work from the evidence you send and tell you what it supports. Payment buys a professional service, not a particular outcome: we cannot promise a building department, lender or insurer will accept a document. Each engagement includes one sealed deliverable and one reasonable revision. Our liability is limited to the fees you paid. Florida law applies. These are the standard terms for every job; if we send you a formal proposal for your project, that proposal governs where it says something different.

1. The engagement

These terms govern every engineering service purchased from Oasis Engineering, LLC ("Oasis", "we"), a Florida professional engineering firm, by the person or entity paying for it ("you", the "Client"): engineer letters and certifications, plans review and certification, structural, wind and energy calculations, design and plan sets, inspections, consulting and digital plan sets sold in the shop. The scope of an engagement is what the written quote, proposal or product description says, and nothing more. Accepting a quote, ticking the agreement box at checkout, paying, or using a deliverable, whichever comes first, is acceptance of these terms for that engagement.

These are our standard terms and apply to every engagement by default. For some projects, typically design work, site inspections and anything quoted by written proposal, we issue a formal proposal or service agreement for that specific project. That document may add to or change these terms for that engagement only, and where it conflicts with this page, the formal proposal controls. Where a quote email lists "key terms for this work", those are excerpts of this page for convenience; the full terms here still apply.

2. Remote, evidence-based services; information you provide

Some of our work is performed remotely from photographs, documents, drawings, surveys, measurements and statements supplied by you, your surveyor, your contractor or other qualified professionals. We rely on that information being accurate and complete; we do not verify it unless the scope says so, and a deliverable is only as good as the evidence behind it. Notes written by whoever took the photographs are reported, not verified. Where the evidence does not support a conclusion, the engineer will say so, may ask for more, may require a site visit at additional cost, or may decline to issue. Payment purchases a defined professional service, not a favorable determination.

2a. Energy calculations: your inputs and revisions

Your inputs are the specification. Manual J calculates loads from the building; Manual S selects equipment and Manual D sizes ducts for the exact products you name: HVAC brand and model numbers with the AHRI reference, the U-factor and SHGC of every window and exterior door, and the insulation and assembly values of the envelope. The report is only valid for those products and values. Where you have not chosen a product, we select a representative one, name it in the report, and that selection is yours to confirm before purchase.

Included at no charge: correction of any error of ours, at any time; and up to three rounds of building-department or plan-reviewer comments that concern the calculations as prepared (methodology, forms, missing pages, clarifications). Not included, and performed as a written change order at $185 per hour (one-hour minimum) or as the published As-Built Update package: any change to the equipment make or model, the window or door products or their performance values, the insulation or assemblies, the layout, orientation or conditioned area after the report is issued, including substitutions made at purchase or at installation; replacing inputs that were incomplete or incorrect when supplied; and re-running the compliance forms for a product chosen after the report. We do not warrant that a product selected after the report will comply, and we do not revise a report to match an installation that does not. Before you buy equipment, windows or doors, send us the exact products or confirm the ones named in the report. One email then saves a revision later.

3. Standard of care

We perform services with the care and skill ordinarily exercised by licensed professional engineers practicing under similar circumstances at the same time and in the same locality. No other warranty, express or implied, is made or intended.

4. Deliverables; use and reliance

A sealed letter, plan set or report is prepared for the Client and the recipient named in it (a building department, lender, insurer or buyer), for the property and purpose stated, and for that transaction only. It may not be reused for another property, project, phase or transaction, altered, or relied upon by anyone else without our written consent. Electronic seals and signatures are used unless a jurisdiction requires wet ink. Each engagement includes one sealed deliverable and one reasonable revision; additional letters, re-issues after corrections, re-inspection, design changes requested by you or a reviewer beyond that revision, and expanded scope are additional services quoted separately.

Where a letter is issued as approval-with-corrections, it states what is acceptable as documented plus itemized corrections for the permit-holding contractor to complete; we do not certify the corrections unless engaged to.

5. Exclusions

Unless the written scope expressly includes them, services exclude: subsurface and geotechnical investigation; load testing or destructive testing; verification of workmanship, materials or concealed conditions; code compliance of work outside the stated scope; mechanical, electrical, plumbing or fire-protection design; environmental, hazardous-material, mold, pest or moisture assessment; cost estimating; construction administration or inspection; expert-witness or litigation support; and any guarantee that a building department, lender, insurer or other authority will accept, approve, permit or close a file.

6. Fees, expenses and payment

Fixed-price services and quotes are stated in U.S. dollars and are due as the quote says: in full at acceptance for most letters, reviews and calculations; by deposit and balance for design work. Permit, plan-review, recording and other agency fees are yours. Travel, courier, printing and other expenses are billed at cost only when pre-approved. Invoices unpaid 30 days after the due date accrue a late charge of 1.5% per month, and we may suspend work and withhold sealed deliverables until the account is current. Digital plan sets purchased in the shop are delivered by email and are final once delivered.

An estimated range shown on the website or in a confirmation email is a guide drawn from our price table; the price you owe is the one in the quote or proposal you accept.

7. Construction means, methods and workmanship

Contractors, other qualified professionals and owner-builders remain solely responsible for construction means, methods, techniques, sequences, safety, and for building in accordance with sealed documents and applicable codes. We do not supervise construction, do not warrant built work, and are not responsible for defects, deviations or substitutions we did not design or approve in writing.

8. Indemnification

You agree to defend, indemnify and hold harmless Oasis, its members, employees and consultants from claims, losses and expenses, including reasonable attorney fees, arising from your use or reuse of a deliverable outside its stated purpose, from inaccurate or incomplete information supplied by you, your contractor or other qualified professionals, from construction not in accordance with the sealed documents, or from claims by third parties relying on a deliverable without our written consent, except to the extent caused by our sole negligence or willful misconduct.

9. Limitation of liability

To the fullest extent permitted by law, the total liability of Oasis and its members, employees and consultants to you and to anyone claiming through you, for all claims arising out of an engagement, whether in contract, tort, negligence, strict liability or otherwise, shall not exceed the fees paid to Oasis for that engagement. Neither party is liable to the other for consequential, incidental, special or indirect damages, including lost profits, delay, financing costs, loss of use or diminution in value. Any claim must be brought within one year after the deliverable is issued.

10. Professional responsibility; termination

Our obligations as licensed engineers to the public and to the licensing boards of the states where we practice (firm licensure in 38 states and the U.S. Virgin Islands) come first. We may decline or end an engagement, and will refund any unearned fees, if a request would require us to misstate a condition, seal work we did not perform or review, or act contrary to law, code or the rules of professional conduct. Either party may terminate for the other's uncured material breach on seven days' written notice; fees earned through the termination date remain due.

11. Governing law and venue

These terms are governed by the laws of the State of Florida without regard to its conflict-of-laws rules. Any dispute is brought exclusively in the state or federal courts sitting in Pasco County, Florida, and each party consents to that jurisdiction and venue. If any provision is unenforceable, the remainder stands.

12. Acceptance and changes

Acceptance occurs when you tick the agreement box at checkout, accept a quote or proposal by email or link, pay, or use a deliverable, whichever comes first, and applies to that engagement. The version in force is recorded with your project file. We may revise these terms for future engagements by posting a new version here; engagements already accepted stay on the version they were accepted under.

Order of precedence. If documents conflict, they apply in this order: (1) a formal proposal or service agreement signed or accepted for the specific project; (2) the written quote or product description you accepted; (3) these standard terms; (4) the website terms and disclaimers. Anything a lower document says that a higher one does not address still applies. Questions: info@oasisengineering.com · (813) 694-8989.
